Once the delisting resolution is approved by shareholders, the company will be delisted. The exit offer is conditional on PBS getting more than 50% of the shares and the delisting resolution being approved by shareholders. Since PBS already got more than 50% of the shares, the exit offer will become unconditional if the delisting resolution goes through.

In your above example, yes, the delisting will go through since the delisting resolution had been approved by shareholders.

When is the egm announcement? Pbs seems trying to frustrate dissenting shareholders by holding decision to when hold egm and pick cheap shares along the wait.

hi, after sending standardcharter 5 emails, waited for more than a week for them to reply, they call me to inform me "they understand, but there is nothing they can help", this is crazy, i use interactivebroker, hsbc, which is also custodian, they will let me vote, but this is bad, I hold quite an amount of share, anyone can let me know what else i can do.

Another sc user faced the same problem.

I think one way to get your rights is to transfer your shares out to cdp account, believe charges do apply. Check sc website for details.

This is one of key reasons I don't use Sc for sgx trading.

unfortunately, u can transfer the shares to your CDP account at a fee if ircc... Smile

i manage to ask standard charter to transfer my share to CDP last week, but they told me it takes about 2 weeks for the transfer, the EGM for zagro is on 4 Feb, this is the part i am not sure, how do I show up on Zagro office on 4 Feb to vote down the proposal? is there any form i will be given?

I personally have sold my stake. Mainly for capital allocation. There are lots of sold down companies that i find myself reluctant to fight on. Without the offer, quite sure the price now would be around 0.2.

which has a direct bearing on whether controlling shareholder PBS will successfully privatise Zagro Asia for his own family's selfish benefit.

I suppose many long-term minority shareholders will attend tomorrow's meeting to ask the BOD especially the IDs and IFA some serious questions, before taking the vote..
