Voting woes for shareholders of SGX-listed Bermuda companies

SINGAPORE (June 7): Not all shareholders are created equal, as associate editor Leu Siew Ying finds out in this week’s edition of The Edge SingaporeMinority shareholders of Singapore Exchange-listed but Bermuda-incorporated companies continue to face administrative hurdles when it comes to voting in annual general meetings (AGMs).

In 2005, companies listed in Singapore were required to amend their by-laws to comply with the Security Industry Council’s code on takeovers and mergers. Still, there are at least 12 Bermuda-incorporated companies with primary listings on SGX that have not amended their by-laws to allow local shareholders to attend shareholder meetings without returning a proxy form to the CDP.

One of them must be Azeus Systems Holdings Limited.

I read 2015 Annual Report and there is a note on page 69
Quote:If a Shareholder being a Depositor whose name appears in the Depository Register wishes to attend and vote at the Annual General Meeting then he/she/it should complete the Proxy Form and deposit the duly completed Proxy Form at the office of the Singapore Share Transfer Agent, Boardroom Corporate & Advisory Services Pte. Ltd. at 50 Raffles Place #32-01, Singapore Land Tower, Singapore 048623 not later than 48 hours before the time set for the holding of the Annual General Meeting.
