SHC calls off RTO, faces delisting if new business not found

SHC Capital faces potential delisting again after calling off a reverse takeover deal with Chinese equipment maker Tong Da Medical Device.

SHC, a cash company that was previously involved in underwriting insurance risks, said it could not make significant progress with Tong Da and its owners in carrying out a financial audit and other due diligence of the Chinese company.

Both parties agreed to terminate the deal as of Oct 31, SHC said. The company has spent about S$1.4 million so far on the terminated deal.

SHC has until Jan 31, 2016 to find a new business, or it will be delisted from the Catalist board.

Proposed Capital Reduction : S$0.095 per share.

Since the completion of the disposal of SHC Insurance Pte. Ltd on August 2014, the company has distributed
1. Dividend : S$0.12 per share in 2014
2. Dividend : S$0.09 per share in 2015

With the proposed capital reduction, a shareholder will receive in total SGD0.305 per share.

I remember the stock traded as high as $0.34 in Aug 2014. At the last done price of $0.158 and together with the 2 dividends, the total value adds up to $0.368 per share. A return of about 8.2% over 2+ years.

I'm happy to have exited.

Here's another perspective.

Even if one's timing has been terrible:
1. Buying at the peak of $0.34 in Aug 2014
2. Getting $0.12 on 22 Aug 2014
3. Getting $0.09 on 28 May 2015
4. Selling at $0.17 last week
The XIRR would still be over 10% p.a.

With just slightly better timing:
1. Buying 3 days earlier at $0.325 in Aug 2014
2. Getting $0.12 on 22 Aug 2014
3. Getting $0.09 on 28 May 2015
4. Selling at $0.18 last week
The XIRR would be over 17% p.a.

So the usual disclaimer forummers see in this forum (YMMV) is a very real thing.
